South Africa’s stringent Over-the-Counter Derivatives Providers licensing regime is forcing smaller foreign brokers to abandon the market, according to new regulatory data. Out of 70 non-bank entities on the ODP registry, four have surrendered their licenses while 26 withdrew applications entirely. High-profile exits include IG Group’s complete withdrawal from the country.
The exodus stems from escalating operational costs and rigorous compliance demands imposed by the Financial Sector Conduct Authority. License holders must maintain staffed local offices, dedicated compliance teams, internal auditors, and three South Africa-based executive directors. These requirements significantly inflate monthly operational expenses, particularly for foreign firms.
The FSCA’s “substance over form” approach prevents companies from operating as letterbox entities, requiring robust onshore risk management and real-time reporting infrastructure. Intensified scrutiny of AML and KYC protocols following South Africa’s exit from the FATF grey list has further increased the regulatory burden.
